MODULES THAT MAKE UP THE ONE TRAIVE PLATFORM

This document is an integral part of and complements "ANNEX I" to the SOFTWARE AS A SERVICE LICENSE AGREEMENT..

The modules and functionalities presented here are for information purposes only and may change without prior notice to the companies contracting the One Traive Platform, for the benefit of the continuous evolution and improvement of Traive solutions.

1. ONE TRAIVE PLATFORM - MODULES

The One Traive Platform has the following modules which can be contracted together or separately via the Order Form ("Form"):

1.1 Pre-Qualification, Document and Data Checking and Credit Workflow;
1.1.1. DESCRIPTION.

This module allows you to have automated and definitive credit governance for your company, accessing data and documents on all your customers through the information sources available in our databases from public and private sources. You can check registration documents, socio-environmental documents, rural property documents, certificates and compliance documents. By accessing them, you will have the necessary inputs to start other activities such as pre-qualification, risk analysis or credit application through workflow and credit conveyor belt.

1.2 Scores and Credit Limit
1.2.1 DESCRIPTION.

Traive's Scores are scores, suggested by our artificial intelligence models, so that you can standardize your company's policies, methodology and analysis parameters, with agility, optimization and analysis precision. They take into account different spheres relevant to agro-credit risk analysis and can be run on all the clients registered in your portfolio. We also suggest a Credit Limit, based on exclusive modeling, for each producer based on the composition of information retrieved automatically and provided manually or via API, such as: location of farms, financial data, crops planted, etc. You can also count on our Data Intelligence Team to actively monitor and provide crop indicators.

1.2.2 MAIN FEATURES.

    1. Presentation of the credit risk score and five other activity scores: Productivity, Financial, Market, Behavior and Compliance.
    2. Automated capture of more than 2,500 data points

1.3 Agro Credit Financing

1.3.1. DESCRIPTION.

Through this module, you can connect to the Traive financing ecosystem with different securitization vehicles and/or financial institutions ("Investor") to prepay your receivables ("Receivables") against rural producers or companies in the agricultural chain ("Drawees"). Our platform allows you to choose the Investor to acquire the Receivables and, to do so, it will show: (i) the score of each Drawee; (ii) the amount that can be advanced; and (iii) the amount you will receive from the transaction ("Acquisition Price").

By choosing a particular Investor, you will be able to view their portfolio of Receivables and monitor it until the transaction is completed. Buyers/Shippers using the platform will also be able to view transactions and follow them through to completion. In addition, they will also be able to monitor and view their portfolio of receivables on the platform for future analysis or adjustments to their Eligibility Criteria and Credit Policy.

1.3.2. FUNCTIONALITIES.

 1.3.3. SPECIFIC CONDITIONS.

We will analyze your data and that of your Drawees, based on the information provided by you. For the purposes of sharing data and information of the Drawees, you must have obtained authorization directly from them and, by clicking on the opt-in available on the One Traive Platform, you are authorizing Traive to use this information to exercise the functionalities described in item 1.3.1 above.

You hereby authorize us to use and share your data and the data of third parties in our possession with those interested in the operations provided for in this module. By way of example, documents such as: financial statements, institutional presentations, receivables information, CPFs of the Drawees, among others that are necessary for the Investors' analysis, may be used and shared.

The Contractor hereby declares that it has obtained the consent of the holder(s) of the Personal Data which allows the legal sharing with the Contractor of the respective Personal Data, so that the Contractor can adequately provide the Services and execute the object of this Contract, whereby such consent shall cover the consultation and receipt of information from the holders of the Personal Data before registers, databases and systems for the registration and centralized deposit of financial assets and similar (collectively, the "Databases"), in the legally required manner, in particular with regard to the authorizations required to access Rural Product Notes and the Credit Information System.

The Contractor undertakes not to negotiate the Receivables directly with Investors or any related parties that have been introduced directly to it by the Contractor, and the Agro Credit Sale operation or similar must be carried out through the One Traive Platform, with the Contractor being subject to: i) termination of the contract; ii) payment of compensatory fines in amounts corresponding to: a) the balance of the remuneration that would be due to the Contractor until the end of the term of the contracted module and b) the amount that the sale of Receivables would generate to Traive; iii) losses and damages suffered by the Contractor due to the loss of business.

You authorize us to act on your behalf as commissioner in the assignment or endorsement of your receivables.

1.4 API connections
1.4.1. DESCRIPTION.

Our platform is flexible and allows the other modules to be accessed by our clients via API/GraphQL connectivity and secure authentication.

    1. The Parties will define the appropriate rules and formats for the best use of the system in each of their applications, and it is essential to reinforce the Contractor's awareness and responsibility in this process;
    2. At the Contractor, the rules and formats are defined for integration through data semantics that will be shared with the Contracting Party;
    3. The Contractor must make human and technological resources available to conduct the project, such as a dedicated and appointed business analyst and project manager;
    4. For the implementation and integration to be successful, there must be homologation between the systems and the Contractor's current credit processes for the service and use of the Contractor's systems.

1.5 Integration..

1.5.1. DESCRIPTION.

The data integration process may vary according to system availability, ERP supplier and complexity of data access. Therefore, during the project, any developments not foreseen in the scope of the contract may arise, which will be designed and contracted, subject to additional investment.

In general terms, the integration possibilities are based on 4 possible scenarios:

  1. Bulk upload via file exchange
    1. This process does not consist of systemic integration as such, but rather manual data input, based on an established layout and file exchange.
    2. The activity involved in this implementation model is basically the preparation of the databases using the template provided by Traive, which will be monitored and reviewed by our support team.
    3. The involvement of the client's IT department is essential in order to access this information in the database, present it within the established layout and send it to the Traive team.
    4. Other activities:
      1. Training CS in score interpretation, limits and use of the platform
      2. Registration of credit policies
      3. AI / Scores training (detailed)
      4. Recurring upload of new data
    5. The time it takes to complete this activity depends on the complexity of each client's data structure and the involvement of the responsible areas, and can vary between 2 and 8 weeks.
    6. Indispensable for execution:
      1. Establishing the frequency of data uploads.
    7. Agents involved throughout the process
      1. Customer: IT / Business Area
      2. Traive DIS / Customer Success / AI
  2. Bulk Upload via Traive Platform
    1. This process does not consist of systemic integration as such, but rather manual data input, based on an established layout and file exchange within the client's individual environment, on the Traive Platform.
    2. This implementation model basically involves creating and preparing the APIs on Traive's side. The involvement of the client's IT department is essential in order to access this information in the database, present it within the established layout and send it to the Traive team.

    4. Other activities:
      1. Training of the upload process via the platform
      2. Training CS in score interpretation, limits and use of the platform

    5. The time it takes to complete this activity depends on the complexity of each client's data structure and the involvement of the responsible areas, and can vary between 2 and 8 weeks.
    6. Indispensable for execution:
      1. Establishing the frequency of data uploads.
    7. Agents involved throughout the process
      1. Customer: IT / Business Area
      2. Traive DIS / Customer Success / AI
  3. Full integration via API
    1. This process consists of systemic integration, based on the creation/configuration of integration APIs for collecting/sending data between the client's ERP and the Traive Platform.
    2. The involvement of the client's IT department is essential in order to access this information in the database, design the plan for returning the data received within the established APIs in the ERP.
    3. Other activities:

      3. AI / Scores training (detailed)
      4. Configuration of APIs
    5. Conditional:
      1. ERP with APIs available for immediate service:
      2. SAP ECC; SAP S/4 Hana; Siagri.
      3. Other ERPs will require technical assessment and development

      6. Additional investment can be considered in proposal/project time

From the contracting process and definition of the integration model, the following will be foreseen for data integration:

  1. Understanding and accessing the client's transactional data structure (payment history, renegotiations, commercial opinions, accounts payable, accounts receivable, invoices, late flags, barter operations, assigned credit limits, among others);
  2. Understanding and accessing the customer's registration data structure (CPF's and/or CNPJ's, type of customer, property data, types of crops, financial data, economic group, among others); Accessing the data so that it can be taken into account in our Traive models and other system functions;
  3. Accessing the data so that it can be taken into account in our Traive models and other system functions;
  4. Preparing the Traive environment to standardize data reading, in order to make it readable only by our system.

There are no plans for data integration:

  1. No systemic changes or parameterization on the client's ERP side;
  2. Standardization of data by the client;
  3. Screen adjustments and/or possible developments.

It is the client's responsibility to prepare any changes and/or developments to make the data readable in the ERP and accessible to Traive. Any and all ERP parameterization, and any costs, to make data integration feasible are the sole responsibility of the contractor.

2. Deadlines.

The schedule and deadlines for making the platform available and implementing it will be established with the customer success team in a kick-off agenda, which will take place immediately after the contract is signed.

2.1 Use of the system.

Each module will have a specific deadline for implementation and granting of access to the Contractor, the details of which will be specified in the "Order Form". It is important to note that the Contractor plays a fundamental role in the implementation of the Modules, not only in making the data available, but also in supporting the Contractor in understanding and processing the data made available, and in integrating the systems.
